Single person's company represents a modernization that has not existed before in most legislations because of its nature, which is outside the traditional concept of the company.
The jurisprudence defines single person's company as "a company that a person, whether natural or legal, can set up on his own by allocating a sum of his own money to invest in a particular financial project. He is accountable for the obligations of this company only to the extent that he allocated his funds to invest in this project".
The objectives of developing this model are to represent economic mobility and to encourage investors wishing to run their activities outside the individual enterprise model without having partners. There are people with leading economic ideas who need support and are afraid of unlimited liability to run their business, so the single person company model was the perfect solution for such people. In addition, this model encourages individuals to establish companies to benefit from the incentives and guarantees granted by law to investment companies, in particular small and micro enterprises, in the context of States' encouragement of such enterprises.
The legislator in regulating the single person company is closer to the limited liability company as being the closest to its nature, except for multiple partners in this company unlike the situation of the one person's company. The nature of the limited liability company requires a general assembly to control its management and this general assembly consists of all partners, this legal position belongs to the sole partner of the one person's company due to the privacy enjoyed by this company as its director is a foreign person from it and this does not prejudice the fact that the company's manager may be the only partner himself.
