The technology transfer contract is a legal construction that indicates that all parties of the contract agree that the party who owns or possesses a certain technology shall transfer such technology to another party. Technology refers to the practical application of scientific research and theories. It is a way to reach the best applications from scientific research. The transformation of technology in general and in most forms is transferring technology from societies that achieved developmental success in multiple areas to societies that seek to achieve the same results in their economic, social, and other fields. In this regard, technology is considered as knowledge and information resulting from applying natural sciences in a particular society to reach solutions to specific problems using the available capabilities. Accordingly, it is the result of certain circumstances, which necessarily requires when transferring it to developing countries to take into account the infrastructure of such countries. The Egyptian legislator organized the technology transfer contract for the first time in Trade Law No. 17 of 1999, to include a legislative regulation for technology transfer contract, in part two of the first chapter; the obligations and commercial contracts in Articles (72) to (87), which was first implemented in the first of October in the year 1999. This research analyzes and discusses the contract’s legal regulation and how such a system affects developing countries. It also presents some forms of technology transfer contracts and studies their importance, creation, or formation. Moreover, it discusses the meaning of negotiation in technology transfer contracts, the conditions restricted to technology transfer contracts, and the obligations arising from such contracts, including the technology supplier’s obligations, the obligations of the technology recipient, and the joint obligations between them.
